Terms of Use

As part of your use of our site, we agree to provide you with information and other services that we may decide to offer, subject to the terms of this agreement.  We reserve the right to change the terms of this agreement at any time, and without notice.  You agree and continue to agree to use our site and services in a manner consistent with all applicable laws and regulations and in accordance with the terms and conditions set out in the policies and guidelines outlined below.

Your use of this site is subject to all applicable local, state, and national laws and regulations.  You are solely responsible for your use of the site, including, without limitation, all activities, acts, and omissions that occur in, from, through, or under your e-mail address, user name or password. For example, you agree that it is a violation of this agreement to do, and that you will not do or knowingly condone others doing, the following:

•    disclose your e-mail address and password to a third party;
•    transfer your account to any third party or allow any third party to access your account;
•    accept payment, goodwill, or anything that carries value in exchange for conducting commercial activity, whether such commercial activity benefits you or a third party;
•    promote terrorism;
•    impersonate any other person or entity or falsely state or otherwise misrepresent your affiliation with any other person or entity, including, without limitation, other users, us or our licensees;
•    interfere with or disrupt the use, features, functions, operation, or maintenance of our site or servers or networks connected to our site;
•    use the site in any way that violates the terms of this agreement, or that aids, encourages, or purports to authorize anyone else to violate the terms of this agreement; or
•    use the site in any way that violates our rights, or that violates any applicable judicial or governmental order, local, state, national, or international laws (including without limitation, laws regarding the transmission of technical data or software exported from the U.S.), regulations, rules or treaties.

Limitation of Liability and Warranty

THE SITE AND ALL OPERATIONS MADE AVAILABLE ON, ACCESSED THROUGH OR SENT FROM THE SITE ARE MADE AVAILABLE ON AN "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS" BASIS, WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THIS SITE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, FUNCTION OR PERFORM IN ANY PARTICULAR MANNER, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKES THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.  IF YOU ARE DISSATISFIED WITH THE SITE, THIS AGREEMENT OR ANY RULES OR ADDITIONAL TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE ACCESSING AND USING THE SITE.

YOU UNDERSTAND THAT BY USING ANY OF THE FEATURES OF THE SITE, YOU ACT AT YOUR OWN RISK, AND YOU REPRESENT AND WARRANT THAT YOUR ACTIVITIES ARE LAWFUL IN EVERY JURISDICTION WHERE YOU ACCESS OR USE THE SITE. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA RESULTING FROM YOUR USE OF THE SITE. FURTHER, WE DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, NONINFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE.

NEITHER THE SITE NOR ANY OF ITS AGENTS, AFFILIATES OR CONTENT PROVIDERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR INABILITY TO GAIN ACCESS TO OR USE THE SITE OR OUT OF ANY BREACH OF ANY WARRANTY. YOU HEREBY ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THE SITE.

Indemnification

You agree to indemnify, defend, and hold the site, its operators, its successors and assigns, and their respective officers, directors, employees, agents, representatives, licensors, licensees, operational service providers, and suppliers, harmless from and against any and all claims, actions, losses, expenses, damages, and costs (including reasonable attorneys' fees), resulting from: (i) your use of the site; (ii) any breach or violation of this agreement or any law, rule, or regulation; (iii) the posting, submission, display, transmission, exchange, performance, publication, distribution, sharing, dissemination, promotion, broadcast, and/or circulation of your Personal Information or any other content due to the theft, destruction, or inadvertent disclosure; or (iv) your authorization of anyone else to use your e-mail address or password.  

Choice of Law

This agreement and your use of site in general is governed by, construed, and enforced in accordance with the internal substantive laws of the State of Connecticut (notwithstanding the State's conflict of laws provisions) applicable to contracts made, executed, and wholly performed in Connecticut, and, for the purposes of any and all legal or equitable actions, you specifically agree and submit to the exclusive and mandatory jurisdiction and venue of the State and Federal Courts situated in the State of Connecticut and County of Fairfield and agree you will not object to such jurisdiction or venue on the grounds of lack of personal jurisdiction, forum non conveniens, or otherwise.
